1. Acceptance of Terms
By accessing khannasir.com, submitting our contact form, or engaging Nasir Uddin Khan IT Solutions for any service, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.
2. About the Service Provider
Services are provided by Nasir Uddin Khan, an independent freelance IT professional based at New Eskaton, Dhaka-1000, Bangladesh, operating under the trade identity KhanNasir IT Solutions.
3. Services Offered
We provide professional IT consulting services including but not limited to:
- IT Infrastructure design (HA, DR, capacity, security)
- ERP System Design and integration
- Oracle, SQL Server, MySQL database administration
- Oracle RAC, Data Guard, WebLogic middleware
- Web hosting, full-stack web development, SEO
- AI integration with ERP and business systems
Specific scope, deliverables, timelines, and pricing are agreed in a separate Statement of Work (SOW) or quotation for each engagement.
4. Quotations & Engagements
- Quotations are valid for 30 days from the date of issue unless otherwise stated.
- Pricing is provided in USD with BDT equivalent — final invoicing is in the currency mutually agreed.
- Engagement begins only after written agreement and (where applicable) advance payment.
5. Payment Terms
- Project-based work: typically 50% advance, balance on completion (unless otherwise agreed).
- Retainer/monthly: invoiced at the start of each month, payable within 7 days.
- Accepted payment methods: bank transfer (BD & international), Wise, Payoneer, mobile financial services in Bangladesh (bKash/Nagad on request).
- Overdue invoices may incur a 2% monthly late fee after a 14-day grace period.
6. Free Consultation
The initial 30-minute consultation is offered free of charge and creates no obligation on either party. No service work begins until a formal engagement is agreed.
7. Client Responsibilities
To deliver successful outcomes, the client agrees to:
- Provide accurate, complete, and timely information about their systems
- Provide reasonable access to environments, credentials, and personnel
- Respond to communication and review requests in a timely manner
- Maintain their own data backups in addition to any backup work we perform
- Comply with all applicable laws regarding data they share with us
8. Confidentiality
All client data, system credentials, business information, and project details are treated as strictly confidential. A formal NDA is available before engagement begins. Confidentiality obligations survive termination of services indefinitely.
9. Intellectual Property
- Custom code, designs, documentation, and configurations created specifically for a client become the client's property upon full payment.
- We retain rights to general methodologies, reusable templates, knowledge, and skills.
- Third-party software (Oracle, Microsoft, etc.) remains subject to its own licensing terms — the client is responsible for valid licenses.
10. Warranties & Limitations
We provide services with reasonable skill and care consistent with 18+ years of professional experience. However:
- We do NOT guarantee specific business outcomes, search engine rankings, or zero-downtime in all conditions.
- Services are provided "as is" without warranty of merchantability or fitness for a particular purpose.
- Maximum liability is limited to fees paid for the specific service in question.
- We are not liable for indirect, consequential, or third-party damages.
11. Cancellation & Refunds
- Either party may cancel a project engagement with 7 days written notice.
- Monthly retainers may be cancelled with 30 days notice.
- Refunds for work already performed are not provided. Refunds for advance payments on uncommenced work are issued within 14 days.
12. Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control — including natural disasters, pandemics, internet/power outages, government actions, or third-party service failures.
13. Governing Law
These Terms are governed by the laws of Bangladesh. Disputes shall be resolved first through good-faith negotiation, then through arbitration in Dhaka, or by courts of competent jurisdiction in Dhaka, Bangladesh. For international clients, alternative dispute-resolution forums may be mutually agreed in the SOW.
14. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date reflects the most recent revision. Continued use of services after changes constitutes acceptance. For active engagements, the Terms in effect at the start of the engagement apply unless mutually updated.
